Terms of Service

1. Agreement to Terms
By accessing, browsing, or using Zelto ("we", "our", or "us") services or website, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree, you must refrain from using our services. These Terms apply to website visitors, prospective clients, and contracted customers.
2. Services
Zelto provides consulting, engineering, implementation, advisory, and managed services related to identity and access management, including: • Okta Workforce Identity Cloud services • Okta Customer Identity Cloud (Auth0) services • Fine-Grained Authorization implementations • IAM/CIAM integrations • Security engineering and posture assessments • Identity lifecycle management • AI identity and access security • Knowledge transfer and training The exact scope of services is defined in individual project contracts or written agreements.
3. Payment Terms
Payment terms are specified in individual service agreements, proposals, or invoices. Unless otherwise agreed in writing: • Fixed-price projects require a 50% upfront deposit • Time & Materials work is billed monthly in arrears • Managed services are billed monthly in advance • Payment is due within 30 days of the invoice date • Late payments may incur interest or service suspension All pricing is exclusive of taxes unless explicitly stated.
4. Intellectual Property
Unless otherwise stated in a signed agreement: • Custom deliverables, documentation, and code produced exclusively for the client become the property of the client upon full payment. • Zelto retains ownership of: ◦ general technical knowledge ◦ methodologies ◦ reusable architectural patterns ◦ templates ◦ models and frameworks ◦ tools developed independently of a specific engagement We reserve the right to reuse anonymized knowledge and best practices gained from engagements to improve future services.
5. Confidentiality
Both parties agree to keep confidential all non-public business, security, architectural and personal data shared during the engagement. Confidential information may not be disclosed to third parties without written permission.
6. Client Responsibilities
Clients are responsible for: • providing accurate information necessary for service execution • granting required access to systems or environments • ensuring internal compliance with identity policies • managing downstream systems not operated by Zelto • not using services for unlawful activities We are not responsible for issues arising from incorrect client data, misconfigurations by third parties, or unauthorized internal user actions.
7. Limitation of Liability
To the maximum extent permitted by law, Zelto shall not be liable for: • indirect, incidental, consequential or punitive damages • loss of data, revenue, profits, or reputation • security incidents resulting from client-side misconfiguration or negligence • misuse or abuse of identity systems outside our direct control In all cases, our total liability shall not exceed the total fees paid for the service giving rise to the claim.
8. Third-Party Services
Our work may involve integrations with external services such as Okta, Auth0, Google Cloud, or other IAM providers. We do not control or guarantee the operation, security, availability, or policies of these third-party platforms. Their respective terms of service apply.
9. Termination
Either party may terminate the service engagement by written notice if the other party: • breaches material terms of the agreement • fails to make payment after due reminders • acts in a way that risks security or compliance Upon termination, the client must pay for services delivered up to the termination date.
10. Governing Law
These Terms are governed by the laws of the European Union and applicable local regulations. Any disputes shall be resolved under the jurisdiction appropriate to the business registration of Zelto.
11. Changes to These Terms
We may revise these Terms from time to time. Updated terms will be published on this page with a new "Last updated" date. Continued use of services indicates acceptance of updated terms.
